USAA’s Investment Business Sale: What You Need to Know
As of July 2019, USAA sold its investment business to Victory Capital and Schwab and is now a Victory Capital Investment Franchise.
The investment management division of USAA recently changed owners. Despite serving 13 million members, employing nearly 34,000 people, and having a net worth of $30 billion, USAA was still considered small in the financial services industry, so this was a significant transaction. This was a driving force for the sale, more than anything else.

What was the date of USAA’s sale to Victory Capital?
As of July 2019, USAA has become a Victory Capital Investment Franchise as a result of its sale to Victory Capital and Schwab. USAA Asset Management Company is being acquired by Victory Capital for $850 million, plus additional contingent payments based on future business performance.
How does that affect your plans for financial independence?
Victory expects to complete moving the accounts over to their systems by the end of 2020 after the sale of USAA’s Asset Management Company closed in 2019.
A sale of USAA’s wealth-management business to Schwab is expected to close by the end of 2020. The Investment Management Company includes USAA’s brokerage and managed portfolio accounts.
When USAA sells these assets, what will happen to the shares of your fund?
USAA’s investment managers competed with companies that managed at least ten times as many clients and a thousand times as much money. The fixed expenses of USAA were spread across a much smaller base. USAA paid over $1000 in members’ money for every $1 that the gigantic corporation spent on fixed expenses per client dollar. At some point, this would lead to an unsustainable business model (sooner rather than later).

The reasons USAA sold to Victory Capital and Schwab
The small size of USAA prevented it from competing in the investment business.
Among USAA’s 13 million members, 1.5 million had invested billions of dollars in their fund shares.
A small minority of USAA’s members purchased funds through USAA’s investment services. A smaller fraction paid USAA’s wealth managers to handle their investments on their behalf.
BlackRock, Vanguard, Fidelity, and Schwab are not just managing more members and assets than USAA. They’re orders of magnitude bigger.
For years, USAA struggled with this scale of investment. National Financial Services, a subsidiary of Fidelity Investments, was hired to run its brokerage infrastructure in 2014. By outsourcing its back-office functions to a world-class company, USAA was trying to lower its fixed expenses while improving member service.
Hundreds of millions of dollars could have been invested to boost their efficiency (and attract more investors), but it would have been a waste of money. Despite being one of the best insurance companies in the country, USAA couldn’t outspend (let alone outgrow) the investment industry’s giants.
USAA has burned through enough member money to find solutions. It’s time to pass the buck to someone else.
USAA could close their accounts and return the funds to their owners. Nevertheless, USAA had already spent hundreds of millions of dollars building those divisions and could recover some of that money. (The financial industry does this all the time with struggling mutual funds.)
